Doufee Platform Agreement — v1 (PLACEHOLDER)
This is placeholder text to be replaced with the official, lawyer-reviewed agreement before public launch.
1. What Doufee is. Doufee provides a software platform that lets independent fashion brands and the factories who manufacture for them track production progress, communicate, and manage orders in one place. Doufee is a tool that connects the two parties. Doufee is not a manufacturer, a brand, a buyer, a seller, an agent, or a broker.
2. Relationship between the parties. Any commercial relationship, order, payment, contract, or dispute is strictly between the brand and the factory. Brands and factories deal directly with one another. Doufee is not a party to any agreement, transaction, or arrangement made between a brand and a factory, whether arranged through the platform or otherwise.
3. Exclusion of liability. Doufee provides the platform “as is,” without warranties of any kind. To the fullest extent permitted by law, Doufee is not liable for any loss, damage, delay, defect, non-payment, non-delivery, quality issue, breach, or dispute arising from or relating to any dealing between a brand and a factory. Production dates, statuses, and messages shown in the platform are provided by the parties themselves; Doufee does not verify, guarantee, or take responsibility for their accuracy. The parties are solely responsible for their own commitments to one another.
4. Your responsibilities. You agree to provide accurate information, to use the platform lawfully, and to honor your own commercial commitments to the parties you connect with. You are responsible for the security of your account.
5. Sealing a relationship (the Locker). When both a brand and a factory lock a working relationship inside the platform, they each confirm they are doing business under this Agreement. Locking is a confirmation between the two parties; it does not make Doufee a party to their dealings.
6. Changes. Doufee may update this Agreement. Continued use after an update means you accept the revised terms.
